Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Right Arm Development Corporation ("we", "us" or "our"), and govern your use of the Real Estate Toys website and applications (the "Service"). Real Estate Toys is a business operated by Right Arm Development Corporation and is not itself a separate legal entity — the corporation is the party you are contracting with. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract. If you accept these Terms on behalf of a brokerage or other organisation, you represent that you have authority to bind it.
You are responsible for everything that happens under your account, for keeping your sign-in credentials confidential, and for notifying us promptly of any unauthorised use.
Account information you give us must be accurate and kept current. We may refuse, suspend or reclaim an account at our discretion.

2. Beta and evolving features

Parts of the Service may be offered as a beta, preview or early-access release. Those features are provided as-is, may be incomplete or unstable, may change or be withdrawn at any time, and may not be covered by any service commitment. We may limit access, invite users in stages, or end a beta programme without notice.

3. Subscriptions, fees and trials

Paid plans are billed in advance on the interval shown at checkout and renew automatically until cancelled. You authorise us and our payment processor to charge your payment method for each renewal.
You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods, unused features or downgrades.
We may change prices or plan features. We will give reasonable advance notice, and changes take effect at the start of your next billing period.
Fees exclude taxes. You are responsible for any applicable sales, use or similar taxes.
Free trials convert to a paid subscription at the end of the trial unless cancelled first.

4. Your content

You own it. Listing details, photographs, logos, text and other material you upload or create using the Service ("Your Content") remain yours. These Terms give us no ownership of it.
Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, adapt, publish and display Your Content solely to operate and improve the Service and to do what you ask of it — for example generating a flyer, rendering a public listing page or posting to a connected account.
Your responsibility. You represent that you own or have the rights to Your Content and that it does not infringe anyone's rights or break any law. That includes images (see below), MLS and listing data, brokerage trademarks and any personal information about your clients.
Images in particular. Images deserve their own mention, because whoever supplies a listing photograph is frequently not the person who owns it — copyright usually sits with the photographer, and may also be claimed by a staging company, a prior listing agent, an MLS or a portal. By uploading an image, or by using one in a listing, in an asset or in anything else you create or publish through the Service, you represent and warrant that you own that image or hold the explicit permission of its owner to use it in that way, including for the reproduction, adaptation, publication and distribution the Service carries out on your instruction. You assume full responsibility and all liability for every image you use, and that responsibility survives the deletion of the image and the closing of your account. We do not clear, review or verify image rights on your behalf. Claims arising from images you use are covered by section 12 (Indemnification).
Compliance. You are responsible for meeting the advertising, licensing, disclosure and fair-housing rules that apply to you and to the materials you distribute, and for any required brokerage identification on them.

5. Acceptable use

You agree not to:

Use the Service to violate any law or regulation, or anyone's rights.
Upload content that is unlawful, infringing, deceptive, defamatory or discriminatory, including content that violates fair housing laws.
Send unsolicited or unlawful marketing, or contact people who have opted out.
Misrepresent a property, a price, your identity or your licensing status.
Attempt to gain unauthorised access to the Service, other accounts or related systems.
Probe, scan, overload, disrupt or circumvent any security or usage limit of the Service.
Reverse engineer, decompile or attempt to extract source code, except where that restriction is prohibited by law.
Scrape or harvest data from the Service, or resell, sublicense or share account access, except as expressly permitted.
Use the Service to build a competing product or service.

6. Our intellectual property

The Service — including its software, design, templates, layouts, sample content, trademarks and logos — is owned by us or our licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own real estate business. Materials you generate from our templates are yours to use for that purpose; the underlying templates are not.

7. Third-party services

The Service integrates with third-party services — identity providers, mapping and property data, media and storage providers, email delivery, social platforms and payment processors. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, their availability or their content, and their data may be inaccurate or incomplete. Verify property information independently before relying on it.

8. Feedback

If you send us suggestions, feedback or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use them for any purpose without obligation or compensation to you.

9. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we reasonably believe your use creates risk or legal exposure, or if we discontinue the Service. On termination your right to use the Service ends immediately. We may delete Your Content after a reasonable period — export anything you want to keep before closing your account. Sections that by their nature should survive termination will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure or error-free, that data or generated output will be accurate, or that defects will be corrected. We do not provide legal, tax, financial or real estate advice, and nothing generated by the Service is a substitute for professional advice or for your own review of the materials you publish.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY OR COMMISSIONS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS (USD 100). Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

12. Indemnification

You agree to defend, indemnify and hold harmless us and our officers, employees and agents from any claims, damages, liabilities, losses and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Governing law and disputes

These Terms are governed by the laws of Arizona, USA, without regard to its conflict-of-laws rules. The courts located in Maricopa County, Arizona will have exclusive jurisdiction over any dispute, and both parties consent to that jurisdiction and venue. Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

14. Changes to the Service and to these Terms

We may modify, suspend or discontinue any part of the Service at any time. We may also update these Terms; we will post the revised version here and update the "Last updated" date above, and for material changes we will provide additional notice such as an email or an in-app message. Continuing to use the Service after the changes take effect means you accept the revised Terms.

15. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
Severability. If any provision is found unenforceable, the rest stays in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
Notices. We may send notices to the email address on your account.
